Terms of Service and Billing Agreement

This Terms of Service and Billing Agreement ("Agreement") is entered into by and between Forward Arrow Solutions Ltd., a Texas Corporation ("Company", "we", "our", or "us"), and the individual or entity subscribing to the FAST platform ("Customer", "you", or "your").
By accessing or using the FAST platform, including through a free trial or paid subscription, you acknowledge and agree to the terms outlined in this Agreement.
- Services Provided
Company provides subscription access to its Software-as-a-Service ("SaaS") platform, known as FAST, designed to support motor carriers and independent operators with fleet financial tools, reporting, and analytics.
- Account Registration
To access and use the FAST platform, you must register for an account by providing accurate, current, and complete information. By registering, you represent and warrant that:
- You are at least 18 years of age (or the age of majority in your jurisdiction);
- You have the legal authority to enter into this Agreement on behalf of yourself or the entity you represent;
- If registering on behalf of a business or other legal entity, you are duly authorized to bind that entity to these Terms.
You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use or suspected breach of security.
We reserve the right to suspend or terminate your account if any information provided during registration or thereafter proves to be inaccurate, not current, or incomplete.
- Free Trial
You are entitled to a free 30-day trial of the FAST platform. No charges will be incurred during this trial period.
To avoid being charged, you must cancel your subscription before the trial period ends.
- Subscription Billing
- Billing begins automatically after the 30-day trial ends unless canceled beforehand.
- Subscription fees are invoiced monthly, with payment due on the first day of each month.
- Pricing is based on the number of Tractors associated with your weekly revenue settlements.
- Determination of Tractor Count
- Tractor count is calculated by averaging the number of revenue-generating Tractors over the four weeks prior to creation of customer monthly invoice.
- You are responsible for uploading your weekly settlement data to the FAST portal.
- If no new data is uploaded, we will maintain the last known Tractor count for billing purposes.
- Customer may dispute the billed tractor count to Company in writing for up to 60 days from date of invoice.
- Payment Terms and Options
- Accepted payment methods: Credit Card and ACH.
- Payments made via Credit Card may be subject to additional processing fees, clearly outlined on your invoice.
- Invoices must be paid in full by the due date. Late payments may incur penalties or lead to service suspension at the Company's discretion.
- Taxes and Fees
All applicable state and local taxes will be included on your invoice based on your billing location. Any additional fees will be itemized clearly.
- Rate Stability
- Rates for new customers are fixed for a minimum of 12 months.
- Any rate increases after that period will be communicated at least 60 days in advance, in writing.
- Cancellation and Termination
- Customers may cancel subscriptions at any time through the customer online billing portal.

Actions/Request Cancellation
- Alternatively, Customers can also simply send an email to support@helpdesk.fx-fast.com notifying Company of Customer’s desire to cancel FAST subscription services.
- Either party may terminate this Agreement with written notice.
- Termination does not release you from obligations for services rendered up to the termination date.
(Stripe requires clear, self-service cancellation instructions—e.g., via account dashboard.)
- Refund Policy
All subscription payments are non-refundable after the billing period has commenced. However, the Company may, at its sole discretion, issue partial or full refunds in the following cases:
Billing Errors: If a Customer is mistakenly overcharged or charged in error, a full or partial refund will be issued upon verification of the discrepancy.
First-Time Subscriptions: Customers who cancel their subscription within 7 days of the first paid billing cycle (following the free trial period) may be eligible for a prorated refund.
Service Disruption: If the FAST platform experiences significant and sustained outages (24 hours or longer), the Customer may request a prorated credit or refund for the affected period.

- Modifications to Terms
The Company reserves the right to modify this Agreement, including pricing and service terms, at any time.
For material changes—such as changes to fees, billing practices, dispute resolution procedures, or user obligations—the Company will provide Customers with at least 30 days’ advance written notice via email and/or through the FAST platform before such changes take effect.
Continued use of the FAST platform after the effective date of any updated terms constitutes acceptance of the revised Agreement. If a Customer does not agree to the updated terms, they may terminate their subscription before the changes take effect, in accordance with Section 9 (Cancellation and Termination).
Non-material changes (e.g., administrative updates or clarifications) may take effect immediately and will be posted on the FAST platform.
- Privacy Policy
We are committed to protecting the privacy of our Customers and their users. Our practices regarding the collection, use, storage, and disclosure of personal information are outlined in our Privacy Policy, which forms an integral part of this Agreement.
The Privacy Policy explains:
- What information we collect (including contact details, billing information, and usage data)
- How we use and share that information (e.g., to deliver services, process payments, and comply with legal obligations)
- How we store and protect your data
- Your rights and choices regarding your personal information
By using the FAST platform, you acknowledge and agree to the practices described in our Privacy Policy.

- Customer Data Ownership
You retain all rights, title, and interest in and to the data and content you upload or transmit through the FAST platform (“Customer Data”). We do not claim ownership of your Customer Data.
We may use aggregated and anonymized Customer Data to analyze usage patterns and improve our services. This data will not include personally identifiable information or be attributable to any specific user or organization.
Upon termination of your account, you may request a copy of your Customer Data within 30 days of termination. After this period, we may delete your data in accordance with our data retention policies, unless otherwise required by law.
You may also request that we delete your Customer Data at any time by contacting us at support@helpdesk.fx-fast.com. We will comply with such requests subject to any legal or contractual obligations.
We will take commercially reasonable measures to safeguard your Customer Data during its storage and processing on our systems.

- Prohibited Use
You agree not to misuse the FAST platform, including (but not limited to):
- Unauthorized access to systems
- Uploading false or fraudulent data
- Interacting with the codebase in an intentional malicious manner
- Violating local, state, or federal laws
- Intellectual Property
All content and software provided through the FAST platform are the exclusive property of Forward Arrow Solutions Ltd. and are protected by copyright and intellectual property laws.
- Limitation of Liability
To the fullest extent permitted by law, the Company is not liable for indirect, incidental, or consequential damages arising from your use of the FAST platform.
- Dispute Resolution and Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.
In the event of a dispute arising out of or relating to this Agreement or your use of the FAST platform, the parties agree to first attempt to resolve the matter informally. If informal resolution is unsuccessful, the dispute shall be submitted to binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration will be conducted in Texas, unless otherwise required by law.
Either party may bring an individual action in small claims court in lieu of arbitration, provided the claim qualifies under the applicable court's rules.
Arbitration will be conducted on an individual basis only. Class actions and class arbitrations are not permitted. The arbitrator will have the authority to award individual relief, including monetary damages and injunctive or declaratory relief where appropriate under applicable law.
By agreeing to these terms, both you and the Company waive the right to a jury trial or to participate in a class action, to the fullest extent permitted by law.
Nothing in this section shall prevent either party from seeking equitable or injunctive relief in a court of competent jurisdiction to prevent immediate and irreparable harm.

By subscribing to and using the FAST platform, you acknowledge and agree to this combined Terms of Service and Billing Agreement.
